01Agreement

These Terms of Use are a binding agreement between you and Apex Trade Corp., a company registered in the Republic of Panama under registration number 155787601, with its registered address at 55th Street East, SL55 Building, 21st Floor, Office 3, Panama City, Republic of Panama (the “Operator”, “we”, “us”). They govern your use of the website apexgo.online and the Apex mobile applications (together, the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

02What Apex is and is not

Apex is software that lets you create, configure and run automated trading bots on your own accounts at third-party crypto exchanges, which you connect with API keys.

Apex is not an exchange, broker, bank, custodian or investment adviser. We do not hold, receive or transfer your funds or crypto assets, we do not execute trades from our own accounts on your behalf, and we do not give financial, investment, tax or legal advice. Your assets stay on the exchange you choose. Orders are placed on your instruction, under the settings you create.

03Eligibility, accounts and security

You must be at least 18 (or the age of majority where you live, if higher) and able to enter a binding contract. You must not use the Service if you are in a restricted region or on a sanctions list (Section 9). One person may hold one account, unless we allow otherwise in writing.

Give us accurate information and keep it up to date. You are responsible for your Apex login and for everything done through your account, including bots you start. Use a strong password and two-factor authentication where offered, and tell us at once at [email protected] if you suspect unauthorised access.

04Connecting exchanges and API keys

To run a bot you give Apex an API key from your own exchange account. By doing so you authorise us to read your account data and to place, change and cancel orders on that account as your bots are configured to do.

• Create keys with trading permission only. Never enable withdrawal permission. We may refuse or disconnect keys that allow withdrawals.
• Where the exchange supports it, restrict the key to our published IP addresses.
• You can revoke a key at any time on the exchange and in Apex. Revoking it stops the bots that use it.
• You are responsible for your exchange account, its terms, its fees, its limits and its security. We are not a party to your agreement with the exchange.

We encrypt your keys and use them only to run the bots you configure. See the Privacy Policy for details.

05Bots, strategies and no advice

You decide which bots to run, with which settings, on which pairs, and with how much capital. Templates, presets, example strategies, backtests, simulations and performance figures shown in Apex are for information and convenience. They are not recommendations, and they do not predict or promise future results. Backtests and simulations do not reflect real market conditions such as slippage, fees, latency and liquidity.

We do not manage your assets, and we do not know your financial situation or goals. Nothing in the Service is investment, financial, tax or legal advice. Take independent advice if you need it.

06Risk disclosure

Trading crypto assets, and especially trading with automation or leverage, carries a high risk of loss. You can lose all the capital you commit, and with leveraged products you can lose more than you deposited if the exchange allows it. Do not trade with money you cannot afford to lose. Please understand these risks before you run a bot:

• Market risk. Prices can move sharply and without warning. A bot keeps following its rules even when conditions change, and may open or add to losing positions.
• Leverage and liquidation. Leveraged positions can be liquidated quickly and with little warning.
• Execution risk. Slippage, partial fills, rejected orders, latency and low liquidity can make results differ from what you expect.
• Technical risk. Software errors, exchange outages, API changes, rate limits, connection failures, delays and downtime at Apex or the exchange can stop or distort a bot. A bot that stops may leave positions open.
• Configuration risk. Wrong settings, such as size, grid range or stop levels, can cause losses.
• Counterparty and regulatory risk. The exchange may be hacked, freeze your account, delist an asset, or change its rules. Laws on crypto assets differ between countries and can change.
• Past performance. Past or simulated results do not guarantee future results.

You are solely responsible for your trading decisions and their results, and for monitoring your bots and your exchange account.

07Subscriptions, fees and refunds

Some features require a paid subscription. The price, billing period and included features are shown before you buy. If you subscribe through the Apple App Store or Google Play, the store handles payment, and its terms on billing, renewal, cancellation and refunds apply together with these Terms.

Subscriptions renew automatically at the end of each period until you cancel. Cancel at least 24 hours before the renewal date in your store account settings, or in your account on our website if you subscribed there. Cancelling stops future charges and keeps access until the end of the paid period.

Except where the law or the store’s policy requires otherwise, payments are non-refundable. We may change prices for future periods with notice. Exchange fees, spreads and taxes are separate and are not charged or refunded by us.

08Acceptable use

You agree not to:

• use the Service for market manipulation, wash trading, spoofing, front-running or any trading that breaks the rules of an exchange or the law;
• use it to launder money, finance terrorism or evade sanctions;
• use the Service on accounts that are not yours or without the account holder’s consent;
• copy, resell, reverse engineer, scrape or interfere with the Service, or try to bypass limits, security or access controls;
• upload malicious code or overload the Service; or
• misuse strategies, signals or content shared by others in a way that misleads people.

We may investigate suspected breaches and report illegal activity to the authorities.

09Restricted regions, sanctions and taxes

The Service is not offered where its use would be unlawful, or in countries and regions subject to comprehensive sanctions. You must not use it if you are located in, ordinarily resident in, or listed under such a jurisdiction or list. We may restrict access by location. You are responsible for knowing and following the laws that apply to you, including laws on crypto assets, trading and reporting, and for your own taxes. We do not provide tax advice or reports for your tax filings.

10Third-party services and exchanges

Apex works with exchanges and other third parties that we do not control. We are not responsible for their services, availability, prices, fees, rules, security, or for any loss or freeze of assets on their platforms. Their own terms apply to you. Listing an exchange in Apex is not an endorsement or a recommendation.

11Intellectual property and licence

The Service, its software, design, trademarks and content belong to the Operator or its licensors. We give you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service as these Terms allow. You keep ownership of the settings and content you create. You give us the right to use them, and to use feedback you send us, to run and improve the Service.

12Availability, suspension and termination

We aim to keep the Service available but do not promise it will be uninterrupted or error-free. We may change, suspend or end features, with notice where reasonable. You can stop using the Service and delete your account at any time. We may suspend or end your access immediately if you breach these Terms, if we must by law, or to protect users, exchanges or the Service. On termination your bots stop, we remove your stored API keys as described in the Privacy Policy, and provisions that by nature should survive will continue.

13Disclaimers and limitation of liability

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, including fitness for a particular purpose, accuracy of data and uninterrupted operation, and we do not guarantee any trading result or profit.

To the fullest extent the law allows, we are not liable for trading losses, lost profits, lost opportunities, losses caused by exchanges or third parties, market movements, outages, or indirect, incidental, special or consequential damages. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law, including for fraud, or your mandatory consumer rights.

14Indemnity

To the extent the law allows, you will compensate us for claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your breach of an exchange’s rules or of the law, or your trading activity through the Service.

15Governing law and disputes

These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law rules. Disputes will be resolved by [the courts of [CITY/COUNTRY] / arbitration under [RULES] in [SEAT]], except that mandatory rights of consumers to use their local courts and laws are not affected. Please contact us first at [email protected] so we can try to resolve the issue informally.

16Changes and contact

We may update these Terms. We will post the new version with its date and, for material changes, notify you by email or in the app at least 30 days before they take effect. If you keep using the Service afterwards, you accept the new Terms; if you do not agree, stop using it and delete your account.
